How to Rebuild, Partner, and Generate Revenue for the Successful Technology Enterprise in 2003
MARK CAMERON WHITE
Partner, White & Lee LLP
Mark White represents a wide variety of private and public companies, as well as venture capital funds, on all matters relating to the formation, financing, growth and liquidity of technology-based enterprises. He regularly advises companies on strategic positioning, business model and revenue generation issues, the preparation of investment materials and presentations, and the structure of complex corporate reorganizations, consolidations and commercial partnerships. Mark has worked with recognized companies such as HotMail, Classmates Online, and 3ware, and with preeminent venture funds including New Enterprise Associates, Selby Ventures, and ChinaVest.
Mark is a frequent lecturer on legal, business, and technology issues surrounding emerging growth companies and has been featured in seminars for the Northern California Association of Harvard Business School, the International Angels Institute, the Asian Business Association, and the EDA Consortium. He has also spoken on these topics in Singapore, the Peoples Republic of China and Malaysia. In addition to the Silicon Forest Forum, Mark organizes the Executive Leadership Series in Silicon Valley in conjunction with the Software Development Forum (SDForum) and PricewaterhouseCoopers. He has also led the organization and operation of the "Soup to Nuts" seminar series, whose sponsors have included NASDAQ, Microsoft and Oracle.
Prior to founding White & Lee, Mark worked as an attorney at Fenwick & West and Cooley Godward. Prior to his legal career, he worked as the Managing Director of the International Trade division of the Harper Group, a Fortune 500 company and as the founder of Campamericana, an international travel operator based in Brussels, Belgium.
Mark received his law degree at the University of California at Berkeley - Boalt Hall School of Law in 1987, his M.B.A. at Harvard University, Graduate School of Business in 1979 and his Bachelor of Arts at Rutgers College, Rutgers University, in 1977, Phi Beta Kappa. Mark is an avid golfer, runner and oarsman.
MATTHEW WILSON
General Counsel, Chrome
Matthew Wilson is General Counsel for Chrome Systems Corporation a privately held company based in Portland, Oregon. He manages Chrome’s legal department, which is responsible for licensing Chrome’s data and software products. He is responsible for the identification and protection of Chrome’s intellectual property assets. In addition, Matthew serves as advisor to Chrome’s Board of Directors and Executive Team on a variety of corporate issues including structure, strategy and corporate governance. He is actively involved in the management of Chrome and the development of strategic relationships for Chrome including the recently announced relationships with the National Automobile Dealers Association, DaimlerChysler and General Motors.
Prior to joining Chrome, Matthew was the General Counsel and Director of Strategy for Velagio, Inc., a mobile data and software integration company. In private practice, Matthew advised clients in the areas of domestic and international venture capital, sports and entertainment representation and real estate development.
Matthew currently serves on the Executive Committee of the Corporate Counsel Section and Pro Bono Committee of the Oregon State Bar. He is the President-Elect for the Oregon Road Runners Club, a non-profit organization that promotes running and walking for health, fitness and fun.
Matthew received his law degree at Western State University College of Law in 1992 and his Bachelor of Science in Economics and Business at Westmont College in 1989. Matthew has extensive international travel experience and enjoys running, golf and skiing.
GREG ENDICOTT
Associate Managing Director, Kroll, Inc.
Greg Endicott performs valuations and transaction advisory services for mergers and acquisitions, divestitures, financial statement reporting, buy-sell agreements, licensing agreements, corporate reorganizations, strategic planning, recapitalizations, estate and gift tax purposes, corporate tax planning and purchase price allocation. His industry experience extends to aerospace, apparel, biotechnology, business services, communications, consumer products, finance, food products, forest products, healthcare, industrial, manufacturing, medical services, professional services, real estate, technology, transportation and utilities. He also has significant experience with emerging companies.
Greg has concentrated on valuations since 1995. Prior to joining the Seattle office of Kroll, he was a manager in the financial advisory solutions group at a Big Five accounting firm. He began his career in various financial and accounting related positions including auditor, controller and financial analyst.
Greg received his BS form Lewis & Clark College and his MBA with an emphasis on Finance from San Diego State University. He is a licensed Certified Public Accountant in Oregon, accredited in business valuation, as well as an Accredited Senior Appraiser (ASA).
ROB NAIL

Rob’s exceptional abilities to lead and motivate have been instrumental in driving Velocity11’s rapid growth, while establishing the company as an innovation leader in the industry. Rob brings extensive prior experience in cutting edge design, manufacturing, and project management at Moller International developing rotary engines for use across numerous industries. He received his M.S. in manufacturing systems engineering from Stanford University where he focused on design, organizational development and entrepreneurship and B.S. in mechanical and materials science engineering from U.C. Davis.
WILLIAM DEIHL

William Deihl has 25 years of experience in financial and operations management with Fortune 500 companies, early stage and five start-ups. He has contributed to the success of a broad collection of companies including holding the position of CFO in two publicly traded companies with worldwide operations. He has also acted as general manager and COO for several privately held manufacturing enterprises. In his consulting practice, his clients have also included, telecommunications equipment suppliers, a long distance service provider, computer manufacturers, food processors, semiconductor and biomedical capital equipment manufacturers, OEM software developers, a fiber optic cable developer and manufacturer, a wireless technology start-up, direct marketer, semi-conductor assembly house, and initial operating executive for hostile takeovers targets.
Prior to WTD & Associates, Mr. Deihl was founding CFO and Vice President, Finance and Administration for Hello Direct, a direct marketer of telephony accessories. Vice President, Finance for Falco Data Products a PC and computer terminal manufacturer. He is a Certified Public Accountant and earned his MBA from Santa Clara University in 1996 in marketing and investments and his Bachelor of Science from the University of Southern California School of Business.
WARD GREENE
Partner, Greene & Markley, P.C.
Mr. Greene has a varied transactional and litigation practice with its focus in commercial law, business reorganization, bankruptcy, collections, employment law and real estate matters. Mr. Greene has represented a number of creditors' committees and debtors in successful Chapter 11 cases, as well as representing corporate and banking clients in general business financing and corporate matters. He has been involved in the acquisition and restructuring of a number of businesses. Mr. Greene received his B.S. in Business from Florida State University in 1969 and his J.D. from Duke University in 1973.
DENNIS FERNANDEZ
Partner, Fernandez & Associates
Mr. Fernandez, a partner at Fernandez & Associates, is an experienced registered U.S. patent attorney, with a strong electrical engineering technical background. In addition to having done significant chip design work in the electronic industry, Mr. Fernandez has served as high technology and intellectual property counsel to several semiconductor, computer, network, communications and software companies. Prior to his time at Fernandez & Associates, Mr. Fernandez has practiced at the law firms of Fenwick & West and Nutter McClennen & Fish. Mr. Fernandez received his J.D. from Suffolk University and holds an Electrical Engineering degree from Northwestern University.
JON RORTVEIT
Co-Founder and President, International Business Accelerator
Jon Rortveit has 15 years of global business experience that includes working with start-up companies and Fortune 500 organizations. His areas of expertise include marketing, distribution, joint ventures and alliance building. Prior to co-founding IBA, Rortveit served in executive-level positions for both hardware and consulting companies. He was president of Morgan Partners; president of Davis North America; and vice president of worldwide marketing for Davis A/S in Norway. Rortveit earned a master's degree in business administration from the University of Warwick Business School in England. He received a bachelor's degree in marketing from the Norwegian School of Management in Oslo.
GLEN ULMER
Partner, KPMG
Prior to joining KPMG in May of 2002, Mr. Ulmer acquired 21 years of experience in Arthur Andersen’s tax and business advisory practice. He is the partner in charge of Portland’s international tax practice for KPMG LLP, and has numerous multinational clients. His areas of specialization include cross-border investment strategies, restructuring international business operations, utilization of foreign sales corporations, repatriating overseas earnings, and transfer pricing analyses. Mr. Ulmer is also in charge of the Pacific Northwest’s Japanese Business Organization, a practice dedicated to providing high quality tax and business advisory services to our Japanese owned clients. He has worked with numerous clients in the United States, Europe and Asia in analyzing the tax consequences of intercompany transactions. In addition to designing intercompany transfer pricing strategies, he has assisted many companies in meeting the documentation requirements, and successfully defending the policies from IRS adjustments. His experiences have been in numerous industries, including manufacturing, high technology, professional services, and distribution. He also is experienced in the areas of general corporate and multistate taxation.
Prior to relocating to the Pacific Northwest in 1980, Mr. Ulmer spent five years in Arthur Andersen’s Washington D.C. office where he began his career. During that period he worked extensively on multinational clients in the Firm’s national practice.
Glen, a CPA, received his B.A. in Accounting from the University of Washington and his J.D. from the George Washington University National Law Center. He is a frequent lecturer on international tax topics, including transfer pricing, and has testified before numerous legislative bodies on tax policy issues. He was keenly involved in Oregon’s repeal of unitary taxation.
Mr. Ulmer is very active in civic activities. He is the past Chairman and President of the Japan-America Society of Oregon, as well as past Vice Chairman of the National Association of Japan-America Societies, the past President of the Pacific Northwest International Trade Association, past Secretary on the board of the World Affairs Council, the District Export Council, and AIESEC (the International Association of Students in Economics and Commerce). He is a member of the Oregon and Washington Societies of Certified Public Accountants, as well as the American Institute of Certified Public Accountants.
ROBERT THELEEN
Group Chairman, General Partner and Founder, ChinaVest
Mr. Theleen co-founded ChinaVest in 1983. He began his career in 1973 with the First National Bank in Dallas. After serving as General Manager of the Singapore Branch, he organized in 1977 the bank's Hong Kong merchant banking subsidiary, First Dallas Asia Limited. In 1980, Mr. Theleen established the Dallas Pacific Group (predecessor to ChinaVest) to provide corporate finance advisory and investment services in East Asia to clients from the US and Europe, with a focus on China. Under his direction, ChinaVest's first private equity fund was launched in 1983.
Mr. Theleen was educated at Duquesne University and John Hopkins University and later received an MBA from the American School of International Management.
Mr. Theleen serves on several corporate boards, including Zindart, NewTone Communications, Virgin Asia Management. Mr. Theleen is also active in the wider community: he sits on the Board of Trustees of the Asia Society; is a contributing member of the Task Force on America's Role in Asia, a Brookings Institute sponsored group to investigate and propose US policy in Asia for the Bush Administration; and is active with the Young Presidents Organization and the Hopkins-Nanjing Center.
PETER HERZ
Founder and Vice President of Business Development, 3ware
Peter Herz has more than 15 years experience in engineering, marketing, and sales. Prior to joining 3ware, Peter worked for Siemens Semiconductor (now Infineon), where he was the director of North American Applications. Previously, he held the position of director of North American Applications Engineering and Consulting group at Synopsys. Prior to that he held the position of General Manager of their European consulting operations. He also served as Director of Sales for Compiled Designs GmbH, acquired by Synopsys in 1993. Peter holds a B.S. degree in electrical engineering and mathematics from Carnegie Mellon University.
SHAWN PRICE
CEO, Savvion
Mr. Price manages corporate growth both internally and externally and oversees corporate strategy as Savvion launches new products and targets new markets. Prior to joining Savvion, Mr. Price served as an executive consultant and from 1998 through 2001 Mr. Price served as Vice President and General Manager of the Americas with Vitria Technology where he led the organization from pre-revenue through successful IPO while managing over 70% of global revenues. Prior to that Mr. Price was Vice President of Corporate Sales for Softbank where he held operating responsibilities in the U.S, Asia and Europe. In addition Mr. Price has held a number of key leadership positions with firms including Object Designs, Photonics Networking, Software Publishing Corporation, and Corel Systems.
ABDI SHAYESTEH
General Counsel, Director of Legal Affairs and Business Development, FinancialCircuit
Abdi is responsible for the management of the legal functions of FinancialCircuit and its subsidiaries. He supports the business development activities of the corporation, including strategic alliances initiatives. Prior to joining FinancialCircuit, Abdi was at White & Lee, LLP, where he represented technology and emerging growth companies, focusing on corporate governance, equity financings, mergers and acquisitions, and intellectual property matters. Abdi also served as a clerk at the S.E.C. and Federal Reserve Bank. Prior to his law career, Abdi founded and managed a number of start-up companies. Abdi received his J.D. from Santa Clara University. Abdi is a member of the California Bar and American Corporate Counsel Association.
